This module begins with an examination of the different types of business ownership and follows with fundamental principles of Company Law including the Constitution of the Company, its Members (rights, liabilities and remedies). We will analyse and examine the core principles and rules which govern Company Law including Corporate veil, the ultra vires rule, raising capital and the nature of dealings with minority shareholders, insiders and outsiders.

Students should develop an understanding of how the Constitution of the company provide for relationships between its members and the outside world. The Course ends with the winding up procedures and liquidation of the Company.
